Terms of Service

Effective Date: September 2026

These Terms govern your use of AIgency, the professional network and booking platform for live entertainment. Please read them carefully.

1.Acceptance of Terms

By accessing or using AIgency (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, you should not access or use the Service. If you use the Service on behalf of an organization, you agree to these Terms on that organization's behalf.

2.About AIgency

AIgency is a platform for participants in live entertainment — including artists, buyers, venues, and other industry participants — to discover opportunities and manage booking-related workflows.

AIgency provides platform and workflow infrastructure. Except where the Service expressly establishes otherwise, AIgency is not an employer, talent agency, manager, or venue operator, and is not a party to the engagements, bookings, or agreements that users arrange with one another.

3.Eligibility and Accounts

To use certain features of the Service you must create an account. When you do, you agree to provide accurate and complete account information and to keep it up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You should notify AIgency promptly if you suspect any unauthorized use of your account.

If you use the Service on behalf of a business, venue, artist, or other organization, you represent that you have the authority to act for that party and to bind it to these Terms.

4.Profiles and User Content

The Service allows you to provide, upload, and share content, which may include profiles, photos, audio, video, documents, gig information, and Media Kit materials (“User Content”).

You represent that you have the rights, licenses, and permissions necessary to provide and share the User Content you submit, and that doing so does not violate the rights of any third party or any applicable law.

You retain ownership of your User Content. AIgency does not claim ownership of it. You grant AIgency only the limited, non-exclusive rights reasonably necessary to host, store, display, transmit, and otherwise operate the Service in connection with your use of it.

5.Gigs, Applications, Offers and Negotiations

The Service facilitates gig opportunities, applications, invitations, offers, counteroffers, and the acceptance and booking workflows that connect artists, buyers, and venues.

You are responsible for carefully reviewing the terms of any opportunity, offer, or counteroffer before applying, responding, or accepting. Deal terms are determined by the users involved.

AIgency does not guarantee that any opportunity, application, offer, or booking will result, be responded to, or be completed.

6.Bookings and Agreements

When users accept booking terms, the Service may support booking agreements, including the use of electronic signatures. AIgency provides the workflow and document infrastructure that supports these steps.

You are responsible for reviewing any agreement before signing it and for understanding the obligations it creates. You should seek your own advice where appropriate.

AIgency does not provide legal advice and does not guarantee that any agreement created or signed through the Service is legally sufficient, valid, or enforceable in any particular jurisdiction.

7.External Invitations and Guest Links

The Service may allow users to invite others or to provide secure guest-link access to people who do not yet have an AIgency account, so they can participate in specific workflows.

Recipients of invitations or guest links must not share, forward, or otherwise misuse that access. If you believe an invitation or guest link has been accessed or used without authorization, you should notify AIgency promptly.

8.Media Kit

Artists may upload Media Kit assets to the Service and may create external share links to those materials.

Buyers associated with a Booking may receive access to an artist's Media Kit after the applicable Booking Agreement has been fully executed.

Artists are responsible for ensuring they have the rights and permissions necessary for any materials they upload, and for handling share links appropriately. AIgency may impose storage and file limits, and does not guarantee that Media Kit links or materials will remain available indefinitely.

9.Tax, Identity and Compliance Documents

Where an Artist chooses or authorizes the applicable workflow, AIgency may facilitate the storage and controlled sharing of certain documents, such as tax forms or identity-related documents, with the Buyer associated with the applicable Booking. Merely having an account, knowing an Artist's email address, or having a general relationship with an Artist does not grant access to these documents.

AIgency does not verify the identity of every user, does not validate tax information, does not provide tax advice, and does not guarantee that any document or workflow satisfies any regulatory or compliance requirement. You remain responsible for the accuracy and appropriate use of documents you provide or share.

10.Payments

AIgency currently does not process booking payments, artist payouts, deposits, or the settlement of booking fees through the platform.

Users are responsible for arranging and completing any payments between themselves outside of AIgency, unless and until AIgency expressly introduces a payment service and makes it available to you.

11.Communications

AIgency may send you transactional and service communications related to your account, invitations, offers, bookings, agreements, and other platform activity. These communications are part of the Service. AIgency does not promise that any particular communication will be delivered, received, or delivered within a specific time.

12.Acceptable Use

You agree not to use the Service to:

  • engage in unlawful activity or violate applicable laws or regulations;
  • commit fraud or impersonate another person or organization;
  • access accounts, documents, or data without authorization;
  • interfere with or compromise the security or integrity of the Service;
  • introduce malicious software or harmful code;
  • scrape, harvest, or use automated means to abuse the Service;
  • misuse guest links or share links; or
  • infringe the intellectual-property or privacy rights of others.

13.No Guarantee of Opportunities

AIgency does not guarantee any:

  • gigs or bookings;
  • responses to applications, invitations, or offers;
  • income or commercial outcomes; or
  • availability of any particular artists, buyers, or venues.

You are responsible for your own professional and commercial decisions when using the Service.

14.Third-Party Relationships

Interactions and engagements between artists, buyers, venues, and other users are primarily relationships between those parties. AIgency provides platform and workflow infrastructure to support them.

To the extent permitted by applicable law, AIgency is not automatically responsible for another user's conduct, performance, cancellation, payment, representations, or obligations.

15.Service Availability and Changes

The Service is offered on an evolving basis and may change over time. AIgency may perform maintenance, and the Service may experience interruptions. AIgency may add, modify, or remove features as the product develops. AIgency does not promise that the Service will be uninterrupted, error-free, or available at all times.

16.Suspension and Termination

AIgency may restrict, suspend, or terminate access to the Service, in whole or in part, for violations of these Terms, security concerns, unlawful activity, or risks to users or the platform.

You may stop using the Service at any time. Certain provisions of these Terms, by their nature, may survive the end of your use of the Service.

17.Disclaimers

To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AIgency does not provide legal, tax, financial, employment, or professional representation advice, and nothing in the Service should be relied upon as such advice.

18.Limitation of Liability

To the fullest extent permitted by applicable law, AIgency and its affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service. This section is subject to legal review and finalization before launch.

19.Indemnification

You agree to indemnify and hold harmless AIgency and its affiliates from and against reasonable claims, damages, losses, and expenses arising out of or relating to your misuse of the Service, your User Content, your violation of these Terms, or your infringement of the rights of any third party, to the extent permitted by applicable law.

20.Governing Law / Disputes

[Legal review: governing law and dispute-resolution terms to be finalized before launch.]

21.Changes to These Terms

AIgency may update these Terms from time to time. When we do, we will update the effective date shown above. Your continued use of the Service after an update takes effect means you accept the revised Terms.
